Important note: As of 1 May 2011, we have discontinued this product. The Companies Act commenced on 1 May 2011 and therefore it is no longer possible (since 1 May 2011) to adopt a shareholders agreement that prevails over the Memorandum and Companies Act. You need to amend the Memorandum (or draft a new one) before drafting a new shareholders agreement. This means that every Shareholders Agreement template that existed has become obsolete. If you want a shareholders agreement you first have to amend the memorandum (or draft a new one).
